Eligibility: The Total Rewards "Hangover" Sweepstakes (the “Sweepstakes”) is open only to individuals who are legal residents of and physically located in one (1) the fifty (50) United States or the District of Columbia who are at least twenty-one (21) years old at the time of entry. Employees of Harrah's Operating Company, Inc. ("Sponsor"), all properties managed by Sponsor, ePrize, LLC ("Administrator"), Warner Bros. Entertainment, Inc. ("Warner Bros.") and each of their respective parents, affiliates, subsidiaries, advertising, and promotion agencies, directors, officers and distributors and other prize suppliers, and each of their immediate family members (spouse, in-laws, grandparents, parents, siblings, grandchildren and children) and/or those living in the same household (whether legally related or not) of each are ineligible to enter or win a prize in this Sweepstakes. Individuals who are excluded from casino facilities, including through a government program, at Harrah’s discretion, or by their own request, are not eligible. If asked, entrant must provide valid proof of age by way of valid picture identification (driver’s license, passport, state identification card, or military identification card). The Sweepstakes is subject to all applicable federal, state and local laws and regulations. Void where prohibited. Participation constitutes entrant’s full and unconditional agreement to these "Official Rules" and Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

Warner Bros., and its parents, affiliates and subsidiaries, are not responsible for the promotion, administration or execution of this Sweepstakes.

3. Timing: The Sweepstakes begins on May 30, 2009 at 12:00 a.m. Eastern Time ("ET") and ends on June 28, 2009 at 11:59 p.m. ET (the "Promotion Period"). Sponsor’s computer is the official time-keeping device for the Sweepstakes.

4. How to Enter:During the Promotion Period, visit www.harrahs.com/thehangover and follow the links and instructions to complete and submit the entry form including first name, last name, email address, a valid home address, phone number, total rewards number (optional) and opt-in request. P.O. Boxes are not permitted. You automatically will receive one (1) entry into the Sweepstakes upon receipt of the entry form by Sponsor. Receipt of an entry occurs when Sponsor's servers record the entry information. Limit: Each participant may enter one (1) time during the Promotion Period. Multiple entrants are not permitted to share the same e-mail address. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different e-mail addresses, identities, registrations and logins, or by any other method different than as stated above will void that entrant's entries and that entrant may be disqualified. Use of any automated system (including, but not limited to, entries submitted using any bot, script, macro, or sweepstakes service) to submit entries is prohibited and will result in disqualification. Entries originating at any other web site are not permitted and will be disqualified. In the event of a dispute as to an entry, the authorized account holder of the e-mail address used to enter will be deemed to be the entrant, provided that person meets the eligibility requirements to participate in the Sweepstakes. The “authorized account holder” is the natural person assigned an e-mail address by an Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address. The potential winner may be required to show proof of being the authorized account holder. If a dispute cannot be resolved to the Administrator's satisfaction, the entry will be deemed ineligible. The submission of an entry is solely the responsibility of the entrant. Proof of sending (such as an automated computer receipt confirming delivery of email or "thanks for entering" message does not constitute proof of actual receipt by Sponsor of an entry for purposes of this Sweepstakes. Only eligible entries actually received by Sponsor's server before the end of the Promotion Period will be included in the Sweepstakes. Illegible, unintelligible, incomplete, garbled, lost, late, misdirected, forged, altered, or mutilated entries will be disqualified.

5. Grand Prize Drawing: Administrator is an independent judging organization whose decisions as to the administration and operation of the Sweepstakes and the selection of the potential Grand Prize winner are final and binding in all matters related to the Sweepstakes. Administrator will randomly select the potential Sweepstakes winner from all eligible entries received during the Promotion Period, on or around July 6, 2009. The potential Grand Prize winner will be notified by mail, e-mail or phone. The potential Grand Prize winner and travel companions will be required to sign and return to Sponsor, within five (5) days of the date notice or attempted notice is sent, an Affidavit of Eligibility, Liability & Publicity Release ("Affidavit") and provide any additional information (such as social security number) that may be required by Sponsor or Administrator in order to claim his/her prize. If the potential Grand Prize winner cannot be contacted, fails to sign and return the Affidavit within the required time period, or prize is returned as undeliverable, the potential Grand Prize winner forfeits the prize. Potential Grand Prize winner must continue to comply with all terms and conditions of these Official Rules; and winning is contingent upon fulfilling all requirements. All Affidavits are subject to verification by Sponsor and/or Administrator. Rejection, faultiness, or return as undeliverable of any prize/prize notification, or inability of Administrator to contact a potential winner after a reasonable attempt has been made (determined in Administrator’s sole discretion), may result in disqualification and selection of an alternate winner by random drawing from among all remaining eligible entries. In the event that the potential winner of the Sweepstakes is disqualified for any reason, Sponsor may award the Grand Prize to an alternate winner by random drawing from among all remaining eligible entries. Only five (5) alternate drawings may be held after which the Grand Prize will remain un-awarded.

6. Prize and Odds of Winning: "ONE (1) GRAND PRIZE": A trip for the Sweepstakes Grand Prize winner and three (3) guests to Las Vegas, Nevada. Trip package includes roundtrip coach-class air transportation for the Sweepstakes winner and three (3) guests on a carrier selected by Sponsor from a major airport near Grand Prize winner’s home (determined by Sponsor in its sole discretion) to Las Vegas, Nevada; two (2) nights accommodations at the Caesar's Palace (two (2) single rooms, each double occupancy); a $500 food credit at the hotel; four (4) tickets to Sponsor's choice of show (seating determined by Sponsor in its sole discretion); and roundtrip ground transfers between airport and hotel. Terms and conditions of food credit apply. Winner must complete the trip within the one (1) year after the date winner is confirmed, or prize will be forfeited. Travel must be roundtrip. Sponsor will determine airline and flight itinerary in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel and accommodations are subject to availability and blackout dates. Travel is subject to the terms and conditions set forth in this Sweepstakes, and those set forth by the Sponsor’s airline carrier of choice as detailed in the passenger ticket contract. All expenses and incidental travel costs not expressly stated in the package description above, including, but not limited to, meals, bag-check fees, all airport fees, service charges or facility fees, personal charges at lodging, taxes or other expenses are the responsibility solely of winner. Each travel companion must be twenty-one (21) years of age or older as of the date of departure and must travel on the same itinerary and at the same time (including the same departure date, destination and return date) as the Grand Prize winner. Travel must originate from and end at the same airport. Travel companions must execute liability/publicity releases prior to issuance of travel documents. Once a travel companion is selected, he/she may not be substituted, except in Sponsor's sole discretion. Flight schedules are subject to change without notice. Travel restrictions, conditions and limitations may apply. If in the judgment of Sponsor air travel is not required due to winner’s proximity to prize location, ground transportation will be substituted for roundtrip air travel at Sponsor's sole discretion and the difference, if any, in the value of the Grand Prize will not be awarded. Sponsor will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates. Sponsor is not responsible if show is delayed, postponed or canceled for any reason, in which event that portion of the Grand Prize is forfeited and no substitution will be provided except in Sponsor's sole discretion. The Grand Prize winner may be required to provide a credit card to cover incidentals and related expenses at the time of each hotel check-in. Once confirmed, trip dates and travel accommodations cannot be changed by winner. No extensions will be permitted, and any unused travel or portion of the Grand Prize will be forfeited and no compensation awarded in lieu thereof. If the winner does not accept or use a portion of the Grand Prize, the unaccepted or unused portion of the Grand Prize will be forfeited and Sponsor will have no further obligations with respect to that portion of Grand Prize. Grand Prize cannot be used in conjunction with any other promotion or offer and may not be separated. All tickets issued in conjunction with the Grand Prize are not eligible for frequent flyer miles, and no code-share flights may be used. Grand Prize may not be transferred or assigned except by Sponsor. Released Parties (defined below) are not liable for any expenses incurred as a consequence of flight cancellation/delay. Released Parties expressly disclaim any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use of the Grand Prize or any portion thereof awarded. Approximate Retail Value ("ARV") of the Grand Prize: $3,600. Actual value of the Grand Prize may vary based on airfare fluctuations and distance between departure and destination. and the difference will not be awarded. Winner will not receive difference between actual and ARV. Prize is non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute the prize or a prize component for one of equal or greater value if the designated prize should become unavailable for any reason. Winner is responsible for all taxes and fees associated with prize receipt and/or use. Failure to complete the trip Grand Prize does not relieve the Grand Prize winner of his or her tax obligations associated with winning the Grand Prize. The odds of winning the Grand Prize depend on the number of eligible entries received during the Promotion Period.

7. Release: By entering, participants agree to release, indemnify, defend and hold harmless, Sponsor, Administrator, Warner Bros. and their respective related companies, parents, subsidiaries, affiliates, and their respective agents and agencies, (“Released Parties”) from and against any claim or cause of action, including, without limitation, personal injury, death, or damage to or loss of property, arising out of, in whole or part, directly or indirectly, from participation or attempting to participate in the Sweepstakes or from acceptance, possession, misuse, award or use of any prize, or while participating in, traveling to, and/or preparing for any Sweepstakes- or Prize- related activity.

8. Publicity: Except where prohibited by law, participation in the Sweepstakes constitutes winner’s consent to Sponsor’s and its agents’ use of winner’s name, likeness, photograph, voice, statements, opinions and/or hometown and state for advertising and promotional purposes in any media, worldwide, without further payment, notice or consideration.

9. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner. Sponsor reserves the right, at its sole discretion, to disqualify any individual found to be: (a) violating the Official Rules; or (b) violating the terms of service, conditions of use and/or general rules or guidelines of any Sponsor property or service. Any person who supplies false information, obtains entries by fraudulent means, or is otherwise determined to be in violation of these Official Rules in an attempt to obtain any prize will forfeit any prize won and may be prosecuted to the full extent of the law. Any attempt by any person to undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

By entering this Sweepstakes and accepting a prize, the Grand Prize Winner agrees to maintain his/her behavior in accordance with all applicable laws and generally accepted social practices in connection with participation in any Sweepstakes-related activity, including use of the trip prize in the Sweepstakes. The Grand Prize winner understands and agrees that Sponsor has the right, in its sole discretion, to disqualify and remove the Grand Prize winner or his or her travel companions from any activity at any time if the Grand Prize winner’s or his or her travel companion’s behavior at any point is disruptive or may or does cause damage to person, property, or the reputation of the Released Parties or otherwise violates the policies of the prize providers. NO RESPONSIBILITIES ARE ACCEPTED BY THE RELEASED PARTIES FOR ANY ADDITIONAL EXPENSES, OMISSIONS, DELAYS, OR CANCELLATIONS RESULTING FROM ANY ACTS OF ANY GOVERNMENT OR AUTHORITY. THE SWEEPSTAKES PRIZE WINNER ACKNOWLEDGES THAT HE/SHE IS SOLELY RESPONSIBLE FOR ANY ACTIONS, CLAIMS OR LIABILITIES OF HIS/HER TRAVEL COMPANION RELATED TO ANY SWEEPSTAKES ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY ACTIONS, CLAIMS OR LIABILITIES RELATED TO THE TRAVEL COMPANION’S USE OF THE PRIZE OR ANY PORTION THEREOF.

10. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing, electronic or human errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to, malfunctions, interruptions, or disconnections in phone lines or network hardware or software failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications or entry information, any error, omission, interruption, deletion, defect, delay in operation or transmission, failures or technical malfunction of any computer online systems, servers, providers, computer equipment, software, email, players or browsers, whether on account of technical problems, traffic congestion on the Internet or at any web site, or on account of any combination of the foregoing; (3) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (4) unauthorized human intervention in any part of the entry process or the Sweepstakes; (5) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize; or (7) late, lost, misdirected, illegible, incomplete or mutilated entries or for theft, destruction or unauthorized access to, or alteration of entries. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes, provided that if it is not possible to award another entry due to discontinuance of the Sweepstakes, or any part of it, for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.

11. Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the District of Nevada or the appropriate Nevada State Court located in Clark County, Nevada; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Nevada, without giving effect to any choice of law or conflict of law rules (whether of the State of Nevada or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Nevada.

Entrant's Personal Information: Information collected from entrants is subject to ePrize, LLC’s Privacy Policy http://www.eprize.com/privacy/privacypolicy.html and Sponsor’s Privacy Policy http://www.eprize.com/privacy/privacypolicy.html and will only be used for direct marketing purposes if entrant consents to use in such manner. Any requested opt-in consent is not required to enter the Sweepstakes and will not increase entrant's chances of winning.

13. Winner List: Winner List requests will only be accepted after the promotion end date (listed above) and no later than November 6, 2009. Miscellaneous: The names of individuals, groups, companies, products and services mentioned herein, and any corresponding likenesses, logos and images thereof reproduced herein, have been used for identification purposes only and may be the copyrighted properties and trademarks of their respective owners. The mention of any individual, group or company, or the inclusion of a product or service as a prize, does not imply any association with or endorsement by such individual, group or company or the manufacturer or distributor of such product or service and, except as otherwise indicated, no association or endorsement is intended or should be inferred. The invalidity or unenforceability of any provision of these Official Rules or the Affidavit will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or the Affidavit is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. For entrants, to the extent there is a conflict between these Official Rules and any terms of use or other agreement posted on the Sweepstakes web site, these Official Rules control.
